Advised a blockchain technology company in connection with a co-founder separation arising from a business divorce and subsequent violations of contractual confidentiality obligations. Coordinated corporate governance strategy, negotiated protective measures for proprietary code and investor communications, and pursued enforcement of confidentiality covenants.
- Represented Web3 development company in cross-border dispute involving collaboration and grant agreements. Acted for a technology developer in a complex post-execution dispute under international blockchain collaboration and grant-funding agreements. The matter involved milestone-based token compensation, confidentiality and non-disparagement obligations, and competing claims over intellectual-property ownership and marketing rights. Advised on cross-jurisdictional enforcement strategy, breach-of-contract defenses, and arbitration procedures under leading international rules.

Advised early-stage investors in multiple transactions seeking rescission of their convertible instruments following material changes to the issuer’s capitalization and disclosure structure. Advised on contractual and statutory rescission rights, securities-law implications, and settlement strategy to recover invested funds and release ongoing conversion obligations.
